Ocyan is a privately held corporation its controlling interest belongs to an Investment Fund from the EIG portfolio, a leading global American fund in the energy and infrastructure sectors, and to Lake Capital Investimentos, the asset management division of Lakeshore Partners, which focuses on the energy and infrastructure sectors.
Board of Directors
The Board of Directors is responsible for directing and guiding the business with regard to economic, social, and environmental topics, establishing strategic guidelines that will be enforced by the Executive Board. It is formed by five directors - all nominated by the shareholder, two of whom are independent. It is also up to the body to elect the company's Executive Board and the CEO.

Flavio Valle - Advisor
Flavio Valle is a Managing Director of EIG currently responsible for investment
activity and operations in Brazil as Head of EIG’s Rio de Janeiro office. Prior to
joining EIG, Mr. Valle was an Executive Director at Prumo Logistica.
Mr. Valle
has over 15 years of expertise in infrastructure projects, cross-border
transactions, project finance, capital markets, mergers and acquisitions. Within
the past 12 years, Mr. Valle has helped to develop Prumo’s companies including
GNA Gas Natural do Acu (the largest thermal power park in Latin America), Açu
Petróleo (a downstream oil hub) and Ferroport (an iron ore export terminal in
Brazil) and has served for several years as a Board member for all three
companies.
Prior to joining Prumo, Mr. Valle was an associate at Law firm
Veirano. Mr. Valle has a degree in Law from Pontifícia Universidade Católica do
Rio de Janeiro (PUC-RJ), an Executive MBA (GMP) from Harvard Business
School and an LLM from FGV/Fundação Getúlio Vargas.
Luiz Reis - Advisor
Luiz Reis is a Founding Managing Partner at Lakeshore Partners with over 30 years of experience
in Infrastructure Structured Finance. Previously, he worked as Executive Director of Banco ABN
Real (2006 – 2008), Executive Director of Santander (2008 – 2011) and Head of Corporate &
Investment Banking divisions of Banco Santander in Brazil (2010 – 2011). He co-founded Lakeshore
in 2011.
He holds a bachelor’s degree in economics from Universidade de Brasília and an MBA from JL
Kellogg School of Management. Luiz assumed the Presidency of Ocyan in October 2024.
Marcio Carneiro - Advisor
Marcio Carneiro is a Founding Partner at Lakeshore Partners with over 30
years of experience in the financial markets. Previously, he worked as
Executive Director at Unibanco (1995 – 1999), Rothschild & Co (1999 – 2001),
Banco ABN AMRO (2001 – 2008) and Santander (2008 – 2011). He co-founded
Lakeshore in 2011.
He holds a bachelor’s degree in chemical engineering from Faculdade de
Engenharia Industrial (FEI), an MBA from The University of Pittsburgh, and a
senior MBA from IBMEC.
Richard Kovacs - Advisor
Graduated in Economics from the Pontifical Catholic University of São Paulo. Worked on the implementation and divestment of the world's first integrated LNG to Power project, and at the largest thermal power plant in Latin America – CELSE (1.6GW). Has been serving as the Director of New Business at EBRASIL since 2016, and today the group has several infrastructure investments.
Victor Bomfim - Advisor
Victor Snabaitis Bomfim has been serving as the CEO of Vast Infraestrutura since 2017, in addition to serving on the boards of two other companies related to the Prumo group – Porto do Açu and Dome – and also on the board of Oceânica SA. Previously, Victor worked for over 30 years at Subsea7, with the last 17 years in the position of Senior Global VP for South America. Victor holds a degree in Mechanical Engineering from Escola de Engenharia Mauá – SP and an MBA from Coppead-UFRJ.
Eduardo Chamusca - Advisor
Eduardo began his career working in shipbuilding yards, moving through the
manufacturing area of heavy equipment, and eventually focusing on the
construction and operation of offshore oil production at SBM Offshore. He
served as General Manager for SBM in Angola, President of SBM Brazil, and
later moved to the Netherlands to take on the role of Global Director of
Business Development. After 11 years with SBM, Eduardo accepted a new
challenge to lead Wood Group in Brazil.
Eduardo has an international background, having lived on five different
continents, with rich exposure to diverse cultures. He holds a degree in
Electronic Engineering from Griffith University in Australia, a master's degree in
Energy Business Engineering from PUC-RIO, and an MBA from IBMEC.
Dionon Cantareli - Advisor
Entrepreneur with over 20 years of experience in thermal generation, responsible for the implementation of 4 thermal power projects totaling more than 2GW. Developed, implemented, and divested from the world's first LNG to Power project and the largest thermal power plant in Latin America – Porto de Sergipe (CELSE) 1.6GW. Currently presides over the EBRASIL group, which has various infrastructure investments.
ADVISORY COMMITTEES
The Board of Directors is supported by three advisory committees, without deliberative powers, composed solely of its members. These are: the Financial and Investment Committee; the Culture, Communication, People, and Sustainability Committee; and the Compliance and Audit Committee. These committees consist of directors who support the decision-making process by delving into specific topics more thoroughly. Their responsibilities are outlined in the Company's Governance Policy and in the Operating Regulations of the Board of Directors.

Roberto Ramos
Graduated in Mechanical Engineering from the Universidade Federal do Rio de Janeiro, holds a
postgraduate degree in the Program for Management Development from Harvard Business School, and
is currently pursuing a master's degree at the University of Leicester in England.
He has served on the Boards of Directors of Trikem and the petrochemical company in Paulínia. He
has been a member of the Board of Directors of various companies within the Odebrecht Group and,
between 1997 and 2002, served as the Chairman of the North Sea Production Company Limited, a
joint venture with the Danish group Maersk that operates the MacCulloch field for ConocoPhillips
in the North Sea.
Luiz Reis - President
Luiz Reis is a Founding Managing Partner at Lakeshore Partners with over 30 years of experience
in Infrastructure Structured Finance. Previously, he worked as Executive Director of Banco ABN
Real (2006 – 2008), Executive Director of Santander (2008 – 2011) and Head of Corporate &
Investment Banking divisions of Banco Santander in Brazil (2010 – 2011). He co-founded Lakeshore
in 2011.

Kellogg School of Management. Luiz assumed the Presidency of Ocyan in October 2024.
JORGE LUIZ MITIDIERI
Graduated in Chemical Engineering from UFRJ in 1982, PMP certified by PMI
since 2003, also holds an MBA in Oil Business from FGV/RJ, and since 2015 is
an Alumni of the London Business School in finance and administration.
Graduated as a Board Counselor by IBGC in 2019 and Certified as an Advisory
Board Member (ConCertif) by CelintBra in 2020.
He has had the opportunity to work in several national engineering and
construction companies - Natron, Jaraguá, IESA, and since 1997 he has been
working at Odebrecht Organization (now NOVONOR) where he started as a
Project Manager responsible for industrial projects in Brazil and abroad.
In 2007, he became a Director in the Construction company, moving to OCYAN
in 2009 where he worked until April 2024 as Executive VP in the Integrated
Services Business Unit responsible for Production Units, Subsea, and Offshore
Maintenance projects. In April 2024, he assumed the Presidency of Ocyan.
He actively participates in ABESPetro, having served on the Fiscal Council in
2018/19 and as an alternate in 2023/24, and later as Director in the biennium
2020/21, coordinator of the O&G Committee of AMCHAM, as well as being a
founder and active member of the Brazilian Association of Certified Advisory
Board Members (ABC3) where he has been serving as a Board Member since
the beginning of this year.
He was a guest lecturer at UFF for the MBA course in Project Management and
Mentor of the Chemical Engineering classes at SENAI CETIQT for 2 years and
has been acting as a mentor in various projects, including with IBP.
Jorge is 64 years old, married since 1984, father of two children, both already
graduated, and now a grandfather of a boy and a girl. He regularly practices
sports and completed the 800km of the Camino de Compostela by bicycle in
2018, whose book was launched in OCT/2022.
GUILHERME britto
He holds a degree in Law from the Pontifícia Universidade Católica of Rio de Janeiro and has an LLM degree with distinction from Université Paris II – Panthéon-Assas. He served as Legal Director of Odebrecht Engenharia Industrial (May 2010 – April 2013), Legal Director of Quattor Petroquímica (October 2008 – May 2010), and was a partner at Leoni Siqueira Advogados and associate at Gouvêa Vieira Advogados. Currently, he is the Executive Vice President of Offshore Production at Ocyan.
HELENA ramos - Vice President of Finance and Investments
She graduated with honors in Business Administration from City University in London and completed, also with honors, the International MBA program at Instituto de Empresa Business School in Madrid. With over 20 years of experience in oil and gas, energy, and project financing, she has worked at Banco Bozano Simonsen, Santander, STEAG Energy, and the energy markets consulting firm Mercados de Energia. She has been with Ocyan since 2007 in the finance department and has been the Chief Financial Officer of Ocyan since June 2023.
NIR lander
Born and raised in Israel, Nir graduated in Electrical and Telecommunications Engineering from
CEFET-RJ. He holds a postgraduate degree in Information Security from UNI-Rio, an MBA in
Strategic Business Management from IBMEC-RJ, and completed executive education programs at the
Wharton Business School (PA/USA) and Columbia Business School (NY/USA).
Coming from the Telecommunications sector, where he built a career over 14 years, Nir has over
20 years of professional experience in Internal Audit, Compliance, Corporate Fraud, and Risk
Management, holding international specializations and certifications. In 2018, he was recognized
by the "Compliance on TOP" survey as one of the 20 most admired Compliance professionals in
Brazil.
Nir joined Ocyan in 2016 as Director of Compliance and, since 2019, has held the position of
Vice President of People & Management. In this role, he is responsible for the areas of People,
Communication, Socio-Environmental Responsibility, Information Technology, Administration, as
well as Procurement and Logistics. Nir is also a Member of the Board of Trustees of the Norberto
Odebrecht Foundation and an independent member of the Audit Committee of the Sistel Social
Security Foundation.
MARCELO MAFRA - Sustainability Director
Graduated in Chemical Engineering from the Universidade Federal do Rio de Janeiro (UFRJ), holds
an Executive Postgraduate degree in Oil and Gas from COPPE/UFRJ, and has specialization in
Regulation of the Energy and Infrastructure Sectors from the Institute of Economics/UFRJ.
Additionally, he completed the School of Leaders program as part of the Continuing Education
Program at Fundação Dom Cabral.
He worked as an engineer in the Technology Development, Materials, and New Business Management
at Petrobras (May/2003 to August/2005), and held the position of a regulatory specialist at the
National Petroleum Agency (ANP) from August 2006 to July 2021. During his time at ANP, he served
as Superintendent of Local Content (March 2011 to October 2013), Superintendent of Operational
Safety and Environment (November 2013 to July 2019), and General Coordinator of Reservoirs and
Production Development (August 2019 to July 2021).
He worked as Regulatory and Institutional Manager at SBM Offshore from August 2021 to March
2023. Currently, he is the Director of Sustainability and ESG at Ocyan.
FERNANDA CASCARDO - Compliance Director
Graduated in Business Administration, holds an MBA in Controlling, Auditing, and Finance from Fundação Getúlio Vargas. She worked as Internal Audit Manager at Ocyan (April 2017 to April 2023) and as Internal Audit Manager at Sete Brasil SA (March 2014 to January 2016). In addition, she has over 16 years of experience in Internal Audit, Controlling, and Finance in the sectors of Intermodal Logistics, Telecommunications, and Industry. Currently, she is the Compliance Director at Ocyan.
RODRIGO lemos - Executive Vice President of Submarine Construction Division
Graduated in Mechanical Engineering from the Universidade Federal de Santa Catarina, holds an MBA
in Project Management (FGV), a specialization in Finance (FIPECAFI), and various certificates
from international institutions.
He joined Ocyan in 2005 and has held positions in various areas since then. He has participated
in the company's projects in Brazil and abroad, mainly serving as the director of the Offshore
Production area from 2010 to 2021. Currently, he is the Executive Vice President of Subsea
Construction and Offshore Production. Rodrigo is also a member of the Board of the Altera&Ocyan
Joint Venture.
Fabiano Sales - Director of People and Management
Fabiano Sales holds a degree in Business Administration from the Catholic
University of Salvador, a Master's in Strategic Administration, an MBA in
Finance from IBMEC, and an Advanced HR Executive Program from the
Michigan Ross School of Business (MI/USA).
With experience in the Retail, Telecom, and Education sectors, Fabiano joined
Ocyan in 2007 in the Maintenance and Offshore Services (MSO) business as
Administrative and Financial Manager. In 2010, he participated in the creation of
the Submarine Construction business, notably achieving the mobilization of the
550t PLSV and the GSNC submarine pipeline projects. In 2012, he took on the
role of People and Organization (P&O) Manager for the Integrated Services
Business Unit, reporting directly to the VPE UNSI, structuring the People area
and providing solutions for FPSO, Submarine Construction, and MSO business
demands throughout the contract cycle.
He is currently responsible for the People and Management Directorate,
overseeing areas such as People Management, Labor Relations,
Compensation, ADP, Information Technology, Communication, Administration,
and Innovation.
Fabiano is a member of Ocyan's Risk Management and Diversity committees,
as well as the HR Committee at JV Altera & Ocyan.
Carolina Cunha - Legal and Governance Director
Graduated in Law from the Pontifical Catholic University of Rio de Janeiro and
holding a Latin Legum Magister (LL.M) from the Instituto de Empresas (IE) in
Madrid, she has over 12 years of experience in the Oil and Gas industry.
She joined Ocyan in 2012 as a Junior Lawyer providing legal support to the
Maintenance and Offshore Services ("MSO") and Submarine Construction
areas. Over time, she began supporting the Offshore Production area. Before
joining the Group, she was an associate at law firms specializing in civil
litigation.
Since May 2012, she has been working in Ocyan's legal department, supporting
in obtaining new contracts (MSO backlog recomposition, Libra FPSO contract,
delivery of PLSVs units), financing, new partnerships, and operations.
In 2017, she returned to Ocyan as the legal head for the Offshore Production
area and participated in all bids the company entered in the segment, as well as
in the assignment of the FPSO Cidade de Itajaí contract to Karoon and in the
negotiation of the operation and maintenance contract with 3R Petroleum.
Carolina helped implement the New Energies and Services area from its
inception. In 2023, she took on the role of legal manager responsible for all
company business.
Since March 2021, she has been the Coordinator of the Legal Committee of
ABESPetro - Brazilian Association of Oil and Gas Goods and Services
Companies. She is currently responsible for Legal Directorate and Governance.
Marcelo Marques Nunes - EVP of Services Division
Marcelo Nunes holds a degree in Civil Engineering from the University of Mato Grosso
with experience in project structuring & execution, project finance, and project
management. He has over 23 years of experience in the Oil and Gas market, where he
was responsible for managing various projects.
In his career, he worked at Enron Power Construction, participating in a pipeline project in
Bolivia and a simple cycle power generation unit in Rio de Janeiro. He worked at Petrofac
in Brazil (Maceio) and in the United States (Louisiana and Texas) on two projects,
including a gas processing plant (UPGN 837) and the construction & commissioning of the
P50 oil and gas modules.
In 2011, he joined Ocyan (formerly Odebrecht Oil & Gas) as a project manager in the
development of the subsea construction business and new proposals. In his first proposal,
in a partnership with Technip (50/50 Joint Venture), he won a Petrobras BID for the
construction and operation of 2 x 550t PLSVs (Pipe Laying Support Vessels).
After a year and a half of operation, he returned for new developments at Ocyan and took
over as the head of Ocyan’s subsea construction business in 2017. During this period, he
was responsible for strategic planning, market positioning, partnership developments,
budgeting/financial studies, and new proposals for this business.
Since 2021, he has held the position of Managing Director of Altera&Ocyan (a 50/50 Joint
Venture between Altera and Ocyan) which owns two FPSOs (Floating Production Storage
and Offloading units), Cidade de Itajaí and Pioneiro de Libra, which have long-term charter
and service contracts with Karoon and the Libra Consortium, respectively.
In 2022, he secured the operation and maintenance contracts for the FPSO and TLWP
(Tension Leg Wellhead Platform) from 3R Petroleum, with a duration of 5 years,
renewable for another 5 (in multiples of 1). He was responsible for managing the day-to-
day activities of the Altera&Ocyan Joint Venture with approximately 550 professionals. He
is currently the Executive Vice President of Services at Ocyan.
